Zoe Terms of Service

Version: September 30, 2026. Effective date: The date this version is first posted at zoe.live/terms.

These Terms of Service (“Terms”) are an agreement between you and Zoe Daily LLC, an Ohio limited liability company (“Zoe Daily,” “we,” “us,” or “our”). They govern your access to and use of Zoe, including its website, text-messaging experience, related account and subscription features, and content we provide through them (together, the “Service”).

Please read these Terms before using Zoe. Zoe uses artificial intelligence and can make mistakes. It is a tool for Scripture, prayer, reflection, and follow-through. It is not a pastor, counselor, clinician, emergency service, or source of professional advice. You remain responsible for your decisions. Section 14 contains an agreement to resolve most disputes through individual arbitration and a class-action waiver, with an option to opt out.

1. Accepting these Terms

Before you begin using Zoe, we will present a short explanation and a link to these full Terms and our Privacy Policy, either when you sign up on our website or in a text message. If you sign up on the website, you accept these Terms by selecting the separate Terms acceptance checkbox. If you start by texting Zoe, or are an existing user asked to accept updated Terms, you accept by replying I AGREE to our Terms prompt. If you do not agree, you cannot use the Service.

Accepting these Terms does not, by itself, authorize recurring automated texts or enroll you in a paid subscription. We obtain any required consent to recurring texts separately. A paid subscription requires a separate checkout and express authorization of its recurring charges.

Our Privacy Policy describes our data practices. Any separately presented offer terms, referral-program terms, or agreement with a church or organization apply to their stated subject. If an individual subscription offer conflicts with these Terms about its price or billing, the offer presented to you at checkout controls that subscription.

2. Who may use Zoe

The Service is offered for individuals who are at least 18 years old and located in the United States. By using it, you represent that you meet those requirements and can enter into this agreement. Do not enroll another person or provide a phone number you do not control or have authority to use. If your number changes or is reassigned, notify us promptly and stop using the old number for Zoe.

We may decline, suspend, or close access if we reasonably believe these requirements are not met or as described in Section 11. Zoe is not currently offered for use outside the United States.

3. What Zoe is and its limits

Zoe provides AI-assisted conversation and proactive text messages intended to support engagement with Scripture, prayer, spiritual reflection, and daily practice. Its messages may be personalized using information you provide and previous interactions, as explained in the Privacy Policy. Features, cadence, and availability may change.

AI-generated content can be inaccurate, incomplete, outdated, inconsistent, or unsuitable for your circumstances. It may misquote or misinterpret Scripture, misunderstand your message, or express unwarranted confidence. A response that sounds personal or authoritative is still generated by software. Zoe does not speak for God, deliver divine revelation, or establish a pastoral or counseling relationship. We do not guarantee any spiritual, personal, relational, health, or financial result.

Use your own judgment. Check important information against the underlying source and consult appropriate people before acting on consequential matters, including marriage or divorce, family relationships, safety, health, mental health, finances, and legal rights. Zoe does not provide medical, mental-health, legal, financial, or other licensed professional services. It is not a substitute for a pastor, trusted community member, qualified professional, or emergency service.

Zoe is not monitored continuously and may fail to recognize or respond appropriately to urgent messages. If you or someone else is in immediate danger, call 911. If you need immediate mental-health or suicide-crisis support in the United States, call or text 988. Do not wait for Zoe to respond.

4. Text messages and mobile service

Zoe is delivered principally through mobile messaging, including SMS and, where available, iMessage or RCS. When you separately opt in to Zoe’s messaging program, you authorize recurring automated service messages at the number you provide. Messages may include onboarding, Scripture and reflection prompts, check-ins, follow-ups, replies to your messages, and account or billing notices. Frequency varies with your settings and use. Message and data rates may apply. Your carrier or messaging provider may delay or fail to deliver messages.

Reply STOP or CANCEL to a Zoe message to stop further Zoe program messages. We will also honor another clear request to stop all Zoe messages as required by law. We may send one nonpromotional confirmation message. We will not send further program messages unless you opt in again. Reply HELP for assistance, or contact support@zoe.live. Consent to optional promotional messages, if offered, is separate and is not a condition of purchasing a subscription.

If you have a paid subscription, a request to stop all Zoe messages, including STOP or CANCEL, also cancels its auto-renewal, so no new billing period will begin. Message delivery ends immediately. Your already-paid period remains in effect through its scheduled end date, but you cannot use Zoe by message during that time unless you opt in again. Opting back in to messages does not restart paid auto-renewal; a new paid authorization is required for future billing.

Your mobile carrier, device, and network are outside our control. SMS may be visible to anyone with access to your phone or message backups and is not necessarily end-to-end encrypted. Use care when sharing sensitive information by text.

5. Paid subscriptions renewal and cancellation

Some access may require a paid subscription. Before you authorize payment, checkout will show the applicable price, billing interval, taxes or other charges, whether any introductory price or trial applies, when charges begin, how renewal works, and how to cancel. The price and offer terms presented at checkout apply to your subscription. No trial applies unless one is expressly shown at checkout. We will not enroll a free user in a paid plan solely because that person accepts these Terms or continues using Zoe.

Unless an offer expressly says otherwise, a paid subscription renews automatically for the billing interval shown at checkout until canceled. You authorize our payment processor to charge the payment method you choose for each renewal, including applicable taxes. You are responsible for keeping payment information current. If a payment fails, we may retry it as permitted by your payment authorization, notify you, or limit paid access.

You may cancel at any time by sending STOP or CANCEL to Zoe, using the online cancellation option linked from checkout and your purchase confirmation, or emailing support@zoe.live with the phone number associated with your subscription. We will not require a phone call to cancel. When you cancel before the next renewal, we will not charge you for another billing period. If you cancel through the online option or support without stopping messages, your paid access continues until the end of the current paid period. If you cancel by message, message delivery ends immediately as explained in Section 4. Payments for a billing period that has begun are final; we do not provide a prorated refund or credit for unused days, except where required by law, to correct a billing error, or as promised in an offer shown before purchase. We will clearly disclose this policy before you pay and confirm your cancellation.

We will give advance notice of a price change affecting an existing subscription and seek any consent required by law before charging the new price. Any promise that a founding price will continue, and the conditions for keeping it, must be stated in the specific offer and purchase confirmation. A free or discounted referral benefit, if offered, is governed by separately presented eligibility and billing terms; it does not change this Section unless those terms expressly say so.

We will not impose unreasonable barriers to canceling.

6. Privacy sensitive information and human access

Our Privacy Policy explains the personal information we collect, how we use and share it, available choices, and how to contact us about privacy. Our processing may involve contracted providers that host, transmit, process payments, and generate AI responses. Do not assume a message to Zoe has the legal confidentiality of a communication with clergy, a therapist, an attorney, or a medical provider.

We design one-to-one conversations to be private by default and restrict access as described in the Privacy Policy. Authorized personnel may access relevant information when reasonably necessary for support, safety, security, quality investigation, legal compliance, or operating the Service. We may disclose information when required by law or as otherwise described in the Privacy Policy. If church-related features are available to you, the Privacy Policy and any specific sharing consent describe what a church may receive. These Terms do not authorize a church to read your private one-to-one messages.

You are responsible for information you choose to submit, including information about other people. Do not send another person’s sensitive information unless you have a lawful basis and a legitimate reason to do so.

7. Sharing and referrals

Zoe may let you share a verse, reflection, or invitation through your phone’s sharing tools or other features. You choose whether and with whom to share. Once shared outside Zoe, the recipient or messaging service may further copy or distribute it, and we cannot control that. Do not use sharing tools to send spam, impersonate others, or disclose another person’s private information. Share only content you have the right to share.

We may offer optional referral incentives under separate, clearly presented program terms. We may deny rewards associated with fraud, duplicate accounts, self-referrals, or other misuse, subject to applicable law and the applicable program terms. No referral reward is promised by these Terms alone.

8. Your content and permission to operate Zoe

You retain whatever rights you have in messages and other content you submit. You give Zoe Daily and its service providers a nonexclusive, worldwide license to host, copy, process, transmit, and use that content only as needed to operate, maintain, troubleshoot, secure, and improve the Service, comply with law, and carry out the uses described in the Privacy Policy and your privacy choices. This license does not authorize using your private conversations to train or fine-tune AI models. It ends when the content is deleted from our active systems, subject to lawful retention, backups, and rights already exercised in connection with the Service.

AI-generated responses may be similar to responses given to other users and may include third-party material, including Scripture translations subject to their owners’ rights. We do not promise that any output is unique, error-free, or available for unrestricted commercial reuse. You may share content through features we provide for ordinary personal, noncommercial use, subject to third-party rights and these Terms.

9. Company rights and acceptable use

Zoe Daily and its licensors retain their rights in the Service, software, design, brand, and materials they provide. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to use the Service for your personal use. These Terms do not transfer ownership of the Service or its underlying technology.

You must not use the Service unlawfully; harass or threaten anyone; submit content that violates another person’s rights; attempt to gain unauthorized access; interfere with security or operation; use automated means to overwhelm the Service; reverse engineer or copy protected components except where law allows; or use Zoe-generated content to impersonate clergy, clinicians, or other professionals. You must not use the Service to send unsolicited messages or to exploit a sharing or referral program.

10. Third party services and links

The Service depends on third parties, including mobile carriers, messaging, hosting, AI, payment, and other providers. Their outages or restrictions may affect Zoe. Links to external sites or resources are provided for convenience; we do not control or endorse all linked content. Your use of a third-party service may be governed by that provider’s terms and privacy practices.

11. Changes suspension and ending use

We may modify the Service, add or remove features, or suspend access for maintenance, security, abuse prevention, legal compliance, nonpayment, or material violation of these Terms. Where practicable, we will provide notice before materially reducing paid functionality or ending a paid plan, and we will handle prepaid amounts as required by law and the applicable offer.

We may update these Terms. For material changes, we will provide reasonable advance notice and request renewed acceptance when required by law or when the change materially affects your rights or obligations. A new version does not retroactively change a dispute or charge that arose before it became effective without your agreement. You may stop using the Service and cancel a paid subscription if you do not accept an updated version.

You may stop using Zoe at any time. To stop texts, follow Section 4. To stop recurring charges, follow Section 5. To request deletion or export, follow the Privacy Policy. Provisions that by their nature should continue after termination, including payment obligations already incurred, intellectual-property protections, liability limits, and dispute terms, will continue to the extent permitted by law.

12. Disclaimer of warranties

To the fullest extent permitted by law, the Service and its content are provided “as is” and “as available.” Zoe Daily disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent such disclaimers are permitted. We do not warrant uninterrupted delivery, complete security, accurate or appropriate AI output, or any particular result. This Section does not limit rights that cannot lawfully be waived or any express commitment we make in a separate, applicable offer.

13. Limitation of liability

To the fullest extent permitted by law, Zoe Daily and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption arising from or relating to the Service, even if advised that such damages might occur.

To the fullest extent permitted by law, the total liability of Zoe Daily and the other persons listed above for all claims arising from or relating to the Service will not exceed the greater of $100 or the amount you paid to Zoe Daily for the Service during the 12 months before the event giving rise to the claim.

These limits apply regardless of the legal theory but do not limit liability or remedies that applicable law does not allow us to limit, including any nonwaivable consumer rights. The limits do not excuse our own fraud, willful misconduct, or other conduct for which a limit is prohibited by law. Some jurisdictions do not permit certain exclusions or limits, so some of this Section may not apply to you.

14. Disputes arbitration and class action waiver

Please read this Section carefully. It affects how you and Zoe Daily may resolve a dispute. Most covered disputes will be decided by individual arbitration rather than a judge or jury. You may opt out of arbitration as described below.

Informal resolution. Before starting arbitration or a lawsuit, either party may send a written notice describing the dispute, the relevant account or phone number, and the relief requested to support@zoe.live with “Legal dispute notice” in the subject line. We will use the contact information associated with your account to send you a notice. The parties will try in good faith to resolve the dispute for 30 days after notice, unless a filing deadline or urgent need for relief requires earlier action. This process does not prevent you from contacting a regulator or exercising a nonwaivable legal right.

Small claims. Either party may bring an individual claim in a small-claims court with jurisdiction, including one in the consumer’s county of residence when permitted, instead of arbitrating, so long as the claim remains in that court.

Individual arbitration. Except for a small-claims case or a claim that cannot lawfully be arbitrated, either party may require final, binding arbitration of a dispute arising from these Terms or the Service. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The American Arbitration Association (“AAA”) will administer the case under its applicable Consumer Arbitration Rules, available at https://www.adr.org/rules-forms-and-fees/consumer/. One neutral arbitrator will decide the dispute. The arbitration may be conducted on documents, remotely, or at a reasonably convenient location as the rules and applicable law provide. The arbitrator may award the same individual relief a court could award under applicable law. A court may enter judgment on the award. If AAA declines to administer a case because Zoe Daily fails to pay required fees, you may bring the claim in a court with jurisdiction.

Fees. AAA’s consumer fee schedule governs. Zoe Daily will pay the administrative fees and arbitrator compensation allocated to businesses under those rules and any additional amount required by law. We will not seek to shift those fees to you except where applicable law and the rules permit a finding of a frivolous or bad-faith claim. Each party otherwise pays its own attorney’s fees unless a statute, these Terms, or the arbitrator’s award provides otherwise.

Individual proceedings. To the extent permitted by law, you and Zoe Daily agree to bring claims only in your or our individual capacity. Neither party may act as a plaintiff or class member in a class, consolidated, representative, or collective proceeding, or seek relief for anyone who is not a party to the dispute, except where applicable law does not permit this waiver. The arbitrator may not combine claims of different people without the consent of all parties.

Opting out. You may opt out of this arbitration agreement, including the class-action waiver tied to it, by emailing support@zoe.live within 30 days after your first affirmative acceptance of these Terms. Use the subject “Arbitration opt-out” and include your name and the phone number associated with Zoe. Opting out does not affect the rest of these Terms or your access to the Service. We will keep a record of your opt-out.

If arbitration does not apply. For a claim that is not subject to arbitration, the parties consent to the state or federal courts located in Ohio, unless applicable law gives you the right to bring the claim elsewhere. Ohio law governs these Terms, excluding conflict-of-law rules, except that the Federal Arbitration Act governs this Section and mandatory consumer-protection laws of your state may still apply. If a court finds the class-action waiver unenforceable for a particular claim, that claim will proceed in court to the extent required by law; the remainder of this Section will be enforced to the extent possible.

Nothing in this Section prevents you from reporting concerns to a government agency or limits any remedy that cannot lawfully be waived, including public injunctive relief where applicable law protects it.

15. Other legal terms

If a part of these Terms is unenforceable, the remaining parts remain in effect, except as specifically stated in Section 14. A failure to enforce a provision is not a waiver of the right to enforce it later. You may not transfer your account or rights under these Terms without our consent. We may transfer these Terms in connection with a merger, reorganization, or sale of the Service, subject to applicable law and the Privacy Policy.

These Terms and any applicable offer or program terms are the entire agreement about your individual use of the Service, unless you and Zoe Daily have a separate written agreement. The Privacy Policy explains our information practices. A church or organization may have its own agreement with Zoe Daily; that agreement does not diminish your individual privacy rights or make church personnel parties to your private conversations.

We may send legal and account notices electronically to the email address or phone number you provide or through the Service, as permitted by law. You are responsible for keeping your contact information current.
